These Terms of Use (“Terms”) govern your use of the WeHelpThink website.

By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. About the Site

The Site provides general information about WeHelpThink, our philosophy, capabilities, ventures and investment activities, and ways a person or organization may present a problem, opportunity, or potential engagement to us.

Site content is informational and promotional in nature unless expressly stated otherwise.

2. No Engagement Created

Visiting the Site, contacting WeHelpThink, submitting an inquiry, participating in a preliminary discussion, requesting information, or receiving an initial response does not create a client, advisory, fiduciary, partnership, joint venture, agency, attorney-client, investment-adviser, broker, or other professional relationship.

An engagement exists only when WeHelpThink and the applicable parties enter into an express written agreement defining the relationship.

3. No Obligation to Accept an Engagement

WeHelpThink may evaluate, decline, redirect, or elect not to pursue any inquiry, proposed engagement, opportunity, investment, acquisition, transaction, or request for proposal in its discretion.

We may also provide general observations or suggest that a person or organization address a problem independently without creating an engagement. Submission of information does not guarantee acceptance, follow-up, or a response.

4. No Professional Advice Through the Site

Nothing on the Site should be treated as individualized:

  • legal advice;
  • tax advice;
  • accounting advice;
  • investment advice;
  • securities advice;
  • financial planning advice;
  • medical advice;
  • engineering certification;
  • regulatory advice; or
  • other licensed professional advice.

Specific engagements may involve qualified professionals where appropriate, but the public Site itself does not establish such a relationship.

You should obtain appropriate professional advice for decisions requiring licensed or regulated expertise.

5. No Securities Offer or Solicitation

Nothing on the Site constitutes or should be interpreted as:

  • an offer to sell a security;
  • a solicitation of an offer to buy a security;
  • a recommendation to purchase, sell, or hold a security;
  • an offer to participate in any investment vehicle; or
  • a representation that any investment opportunity is available to any particular person.

Any securities-related activity, if undertaken, will be conducted separately and subject to applicable agreements, disclosures, qualifications, registrations, exemptions, and legal requirements.

6. No Guarantee of Results

WeHelpThink is focused on solving problems and creating meaningful value, but business, investment, product, marketing, political, transactional, and other outcomes inherently involve uncertainty.

Nothing on the Site is a promise or guarantee of any particular result, financial return, business outcome, transaction, fundraising result, campaign outcome, or other performance.

7. Information You Provide

You are responsible for ensuring that information you provide through the Site:

  • is accurate to the best of your knowledge;
  • does not violate applicable law;
  • does not infringe another person's rights;
  • is information you have the right to provide; and
  • does not contain malicious code or harmful material.

Do not submit legally privileged, restricted, highly sensitive, regulated, or confidential information unless and until an appropriate relationship and information-handling arrangement has been established.

8. Bring Us the Problem Form

Submitting the “Bring Us the Problem” form transmits the information you enter and any attachments you select to systems used by WeHelpThink for intake, evaluation, security, recordkeeping, and follow-up.

The form uses browser-side and server-side validation. Attachments are subject to file-type and size restrictions and are stored in private cloud file storage when a submission is accepted by the server.

Submitting the form does not create an engagement, professional relationship, confidentiality obligation, fiduciary duty, attorney-client relationship, investment-adviser relationship, or other protected relationship. It also does not guarantee that WeHelpThink will accept the matter, contact you, or respond within any particular period.

Do not submit information you require us to treat as legally privileged or subject to a specific confidentiality duty unless such a duty has already been established in writing.

9. Intellectual Property

Unless otherwise indicated, the Site and its original content, design, branding, graphics, interfaces, text, methodologies expressed through the Site, and other materials are owned by or licensed to WeHelpThink and are protected by applicable intellectual-property laws.

The WeHelpThink name, branding, and distinctive materials may not be used in a manner that suggests sponsorship, endorsement, affiliation, or authorization without permission.

You may view and use publicly available Site content for ordinary informational purposes.

You may not, without permission:

  • reproduce substantial portions of the Site for commercial use;
  • remove proprietary notices;
  • impersonate WeHelpThink;
  • misrepresent Site content as your own;
  • use the Site to create a misleading competing representation of WeHelpThink; or
  • attempt to obtain nonpublic proprietary frameworks, systems, code, data, or information.

10. Acceptable Use

You may not use the Site to:

  • violate applicable law;
  • harm, threaten, deceive, defraud, or harass others;
  • interfere with Site operation or security;
  • probe or bypass security controls without authorization;
  • introduce malware or malicious code;
  • scrape or automate access in a manner that materially interferes with the Site;
  • impersonate another person or organization; or
  • attempt unauthorized access to systems or information.

11. Third-Party Content and Services

The Site may reference or link to third-party websites, services, providers, organizations, or information.

Such references do not automatically constitute an endorsement.

WeHelpThink is not responsible for third-party content, availability, terms, privacy practices, security, or performance.

12. Site Availability and Accuracy

We may modify, suspend, remove, or update Site content or functionality without notice.

We aim to provide useful and accurate information, but Site content may become incomplete, outdated, or inaccurate.

The Site is provided on an “as available” basis to the fullest extent permitted by law.

13. Limitation of Liability

To the fullest extent permitted by applicable law, WeHelpThink and its owners, affiliates, personnel, and representatives will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising solely from use of or reliance on the public Site.

Nothing in these Terms excludes liability that cannot legally be excluded.

14. Indemnification

To the extent permitted by law, you agree to be responsible for claims, losses, or expenses arising from your unlawful misuse of the Site, violation of these Terms, or infringement of another person's rights through content you submit or actions you take through the Site.

15. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles, except to the extent another law is required to apply.

Any dispute concerning the Site that is not governed by a separate written agreement will be addressed in a court of competent jurisdiction in Florida, subject to applicable law.

16. Separate Engagement Agreements Control

If you enter into a written agreement with WeHelpThink, that agreement controls the specific engagement.

If there is a conflict between these Terms and an executed engagement agreement concerning the subject matter of that engagement, the executed agreement controls.

17. Changes to These Terms

We may update these Terms periodically.

Continued use of the Site after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
